Jason H. Scott

Jason is a partner in the Charlotte office. His practice focuses on capital markets transactions, advising both issuers and investment banks. He has regularly represented clients in offerings of high yield debt securities, convertible and hybrid debt securities and investment grade debt securities. In addition, he assists issuers in a variety of equity offerings, including private placements and registered offerings.

In addition to serving as counsel to both underwriters and issuers in public and private offerings of debt and equity securities, Jason frequently advises clients in connection with their public company reporting obligations and their corporate governance. He regularly assists clients with their periodic reporting obligations, section 16 filings, proxy statements, schedule 13 filings and numerous other filings with the Securities and Exchange Commission. He has also represented several issuers in connection with the private placement of equity securities or securities convertible into equity securities and has frequently assisted those clients with filing a registration statement to register those equity securities for resale by the selling securityholders.

Jason frequently speaks on corporate governance and corporate finance issues. He has been a part of the faculty for programs sponsored by the Minority Corporate Counsel Association and for the IPO Bootcamp sponsored by KPMG.
