Jeremy Liss’

practice primarily involves counseling private equity funds and their portfolio companies on structuring and negotiating complex business transactions, including domestic and cross-border mergers and acquisitions, divestitures, purchases and sales through bankruptcy and out-of-court restructuring, equity financings, incentive plans, leveraged dividends and general corporate matters. Jeremy has led numerous transactions in his career in a variety of industries with transaction sizes ranging from less than $10 million to more than $6 billion. Jeremy is a thought-leader in the use of representations and warranties insurance and other transactional risk insurance products and regularly uses these insurance products to deliver enhanced terms to both the buyers and sellers in transactions.

Jeremy’s representative clients include Advent International, Arlon Group, Aterian Investment Partners, Continental Grain Company, Kellwood Company, ROCH Capital, Sun Capital Partners and Wind Point Partners.

Jeremy is a member of the Firm’s associate review committee, operations committee, and pro bono committee. He has also been recognized as a Rising Star by Super Lawyers.
