John Phelan's practice includes a full range of commercial real estate transactions, including mortgage and other financing, sales and acquisitions, leasing, brokerage and management.
Recent matters have involved a variety of real property interests, including office buildings, hotel and resort properties, shopping center and retail facilities, power generation and industrial facilities, and residential and condominium developments. John works regularly with our corporate and financial institutions and the Environmental, Litigation, Tax and other practice groups to provide a broad spectrum of representation to the firm's real estate clients.
John often represents lenders in single-asset and multi-state financing transactions, including both conventional mortgage lending and other financing structures. In larger transactions, he works with both agent lenders and syndicate members and has experience with agency and syndication documents. He has also represented lenders in a variety of workout, foreclosure and bankruptcy situations. In addition, he has represented pension funds and other institutional investors in fund and portfolio investments, often working closely with tax planning professionals to achieve the clients' objectives.
John's work for owners and developers includes mergers and acquisitions for a number of national and international entities. For example, he has represented a major music and entertainment promoter in several significant multi-site acquisitions. He has also represented a number of corporations acquiring and disposing of both manufacturing and retail facilities, including an acquisition which involved more than 2,000 retail locations. His work in this area includes supervision of due diligence efforts, structuring and documenting the transaction, and limiting exposure for non-real estate liabilities. In addition, John regularly represents buyers and sellers of specific real estate properties, which have included major New York area office buildings, power generation facilities, and other commercial and industrial properties.
Another aspect of John's practice is the representation of owners and developers in leasing transactions. In this area, he has handled transactions involving ground and net leases; office leases, particularly in the New York area; industrial facility leases; retail and shopping center leases; and other leases. His practice also includes representation of tenants of office, industrial and retail facilities.
