John D. Geddes

John Geddes handles a wide range of corporate and securities matters. He represents issuers, underwriters and investors in connection with public offerings and private placements of equity and debt securities, including initial public offerings, follow-on and secondary public offerings and venture capital financings.

Mr. Geddes also advises companies both large and small on merger and acquisition matters, including negotiated acquisitions and divestitures, joint ventures, tender offers and exchange offers, as well as equity and debt restructurings and corporate reorganizations. In addition to his transactional work, he counsels clients on disclosure issues, compliance with federal securities laws, fiduciary duty analysis, state corporate law issues and defensive planning.
