John F. Settineri

John Settineri’s tax practice covers a full range of domestic and international transactions, including mergers and acquisitions, initial public offerings, private placements, restructurings and joint ventures.

He has prepared tax disclosures with respect to, and advised, numerous public companies, including special purpose acquisition companies (SPACs), both in their initial public offerings and in their subsequent acquisitions of target businesses, and has advised public companies in their "going private" transactions and target businesses in their acquisitions by public companies. He has also provided tax advice and planning to overseas businesses in accessing U.S. capital markets and in developing their operations in the United States, and domestic businesses seeking to expand their operations abroad. In addition, he has extensive experience in drafting and negotiating "gross up" and other tax related provisions in commercial loan agreements.
