Louis R. Dienes

Louis Dienes is a trusted legal adviser for middle-market companies throughout the United States. He is the primary attorney for companies and investors in business transactions including mergers and acquisitions, equity and debt financings, and related liquidity and succession planning. He is widely recognized for his expertise in transactions involving intellectual property rights and is the Executive Editor and co-author of the two-volume treatise "Intellectual Property Issues in Business Transactions," (California 2009).

He has represented clients in a wide range of industries in sophisticated transactions involving the development and commercialization of new intellectual property, the licensing or acquisition of existing intellectual property portfolios, loans secured by intellectual property rights and resolving rights in intellectual property in disputes and insolvency.

Mr. Dienes has represented buyers and sellers in achieving their financial and strategic goals through more than $10 billion of completed U.S. and foreign mergers and acquisitions. He has extensive experience in completing transactions under difficult circumstances including the dissolution of business and personal relationships, contentious litigation and insolvency.

He has represented companies and investors in more than 150 private offerings of securities, including preferred stock and convertible debt offerings, and offerings of partnership and limited liability company securities. He has supported both growth companies and distressed businesses in their capital raising activities and is a recognized and credible intermediary among private equity and venture capital investors and their advisers. He also often advises businesses and executives on equity compensation, employment and termination issues.

Mr. Dienes has considerable experience negotiating and documenting important business transactions, including joint ventures, strategic alliances, outsourced services, research and development, manufacturing, supply, marketing, sales, distribution and licensing agreements. He has assisted many companies in creating and refining their business models and the fundamental contracts by which they conduct their businesses.
