Melika E. Martin

Melika Martin is an associate in the Emerging Companies and Capital Markets practice groups of Cooley's Business department. She joined the Firm in 2013 and is a resident of the Los Angeles office.

Ms. Martin concentrates her corporate and securities law practice in the representation of public and private companies and the venture capital firms, investment banks and strategic investors that finance these companies in public offerings and private placements of equity, equity-linked and debt securities, M&A transactions, executive compensation, as well as corporate governance, disclosure, financial reporting, proxy, stock exchange and securities law compliance matters.

Ms. Martin represents companies in the technology, media, entertainment, life sciences, financial services, and retail and consumer product sectors, and also represents venture capital firms and other investors.

Ms. Martin's recent representative transaction include:

Sientra, Inc. (NASDAQ: SIEN) in its $75 million initial public offering.
RealD Inc. (NYSE: RLD) in its $230 million initial public offering on the New York Stock Exchange, and a subsequent follow-on secondary offering of an additional $250 million.
LegalZoom.com, Inc. in its $225 million Tender Offer of Common and Series A Preferred Stock from existing stockholders by LucasZoom, LLC, an affiliate of Permira, a British Private Equity Firm.
ShoeDazzle.com, Inc., a subscription e-commerce company, in its acquisition by JustFab.
LegalZoom.com, Inc. in connection with a transaction involving Institutional Venture Partners, Kleiner Perkins Caufield & Byers and certain existing stockholders of LegalZoom.com.
The FRS Company in multiple issuances of Preferred Stock to Oak Investment Partners and other investors, and textPlus, Inc. (formerly GOGII, Inc.) in multiple issuances of Preferred Stock to Matrix Partners, KPCB Holdings, GRP and The Raine Group.

Prior to joining Cooley, Ms. Martin was an associate in the Corporate practice group at Sheppard Mullin Richter & Hampton from 2008 to 2013.
