Stephen A. Jannetta

Stephen A. Jannetta is a partner at Morgan Lewis and has been a manager of the Business and Finance Practice in the Philadelphia office. He is currently a deputy practice group leader for the firmwide Business and Finance Practice. Mr. Jannetta has a broad general corporate background. In particular, his practice includes experience in complex financing transactions, mergers and acquisitions, securities law, joint ventures and startups, and technology licensing, as well as in providing general corporate advice to publicly and privately held corporations.

Mr. Jannetta has represented numerous medical device, biotech, healthcare, utility, financial services, and technology companies in all phases of their life cycle, including capital raising, licensing, debt finance, and mergers and acquisitions transactions. Recently, he represented a major healthcare company in a buyout of a 50% general partner; a major healthcare company in its sale of a pharmacy benefits management company to a publicly traded company; a publicly traded company in several matters, including various public offerings of common stock, a $200 million credit facility, and in its $1.5 billion sale; and a publicly traded energy company in a $1 billion credit facility. He has also advised a number of technology, biotechnology and medtech companies in venture capital financing transactions involving an aggregate of more than $250 million.

Mr. Jannetta is the honorary consul of the Kingdom of Belgium for the Philadelphia region. He is also a member of the board of directors of Pennsylvania Biotechnology Association, the statewide trade association for the life sciences industry; a member of the board of trustees of his alma mater The Episcopal Academy, a private, coeducational school located in Newtown Square, Pennsylvania; a member of the board of trustees of Camp Tecumseh, a boys' camp located in Center Harbor, New Hampshire; a member of the Campaign Cabinet of the United Way of Greater Philadelphia & Southern New Jersey; and a member of the advisory board for the Hubert J.P. Schoemaker Classic, an annual golf tournament benefitting Melmark, Inc. Mr. Jannetta previously served on the Attorney Advisory Committee to the Pennsylvania Securities Commission, was a board member of the Economy League of Greater Philadelphia, and was on the board of directors of the Haverford Civic Association.

Since 2006, Mr. Jannetta has taught Legal Aspects of Entrepreneurship as an adjunct professor at the University of Pennsylvania Law School, his alma mater.

Mr. Jannetta is admitted to practice in Pennsylvania.
