Vanessa C. Gage

Vanessa is a finance partner in the firm’s Financial Industry Group, who focuses on asset-based lending, securitization and other structured products, including financing of aircraft, rail, and other equipment assets. With a strong base in both secured lending and complex structured products, Vanessa is well versed in all areas of asset-based financings.

She represents a wide range of private and public companies and institutional clients, including foreign and domestic commercial banks, investment banks, hedge funds and private equity funds. Many of her transactions are cross-border in nature, and she is experienced in the nuances of multi-jurisdictional transactions.

In the equipment finance area, Vanessa has advised lenders, investors, underwriters, sponsors, aircraft leasing companies and others on aircraft and rail portfolio acquisitions, warehouse facilities, equity participations, debt and lease financings, securitizations, bankruptcies, restructurings and workouts, and business jet acquisitions, sales, and fractional ownership interest purchases. Vanessa is an active participant in aviation and rail industry groups, the ABA Subcommittee on Aviation Law, and Rail Working Group for the Cape Town Convention on International Interests in Mobile Equipment.

Vanessa has also represented financial institutions, funds and companies in acquisition financings, syndicated, club and bilateral financings, multi-currency credit facilities, cross-border financings, capital call/subscription facilities, and project financings. Her experience in these transactions encompasses a broad range of industries, including commodities and natural resources, food service, agribusiness, energy, manufacturing, retail, education and healthcare.

Vanessa's experience in the structured finance area includes structuring and negotiating securitization and other financing arrangements, including transactions backed by aircraft, rail assets, equipment loans and leases, residential mortgage loans and auto loans.

She has also worked extensively on restructurings and workouts of project financings, asset-based loans, and complex structured products and securitizations, as well as purchases/sales of distressed assets.
