David Chalk practices corporate and securities law with special emphasis on public and private mergers and acquisitions, public offerings of equity and debt securities including IPOs and follow-on public offerings and Rule 144A offerings, tender offers, going private transactions, PIPE transactions, venture capital investments and other private placements of securities.

He also advises public companies on disclosure and corporate governance issues, shareholder relations, and compliance with the Sarbanes-Oxley Act of 2002 and the rules and regulations of the US Securities and Exchange Commission, the Financial Industry Regulatory Authority and the major stock exchanges. David began his career in the Division of Corporation Finance at the SEC.

David has served as counsel in more than 75 public and private offerings of equity and debt securities, both on behalf of issuers, underwriters, and placement agents and investors. He has acted as counsel to both buyers and sellers in more than 50 merger and acquisition transactions on behalf of public and private companies.
